1. Acceptance of Terms

Welcome to Dukano. These Terms of Service ("Terms") govern your access to and use of Dukano's website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Dukano is an e-commerce platform that enables users to:

• Create and manage online stores
• List and sell products and services
• Process payments and manage orders
• Integrate with third-party platforms (Meta/Facebook, Instagram, payment processors, etc.)
• Use AI-powered features (chatbot, theme generation, product recommendations)
• Access analytics and business insights
• Customize store themes and layouts

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful and accurate registration information
• Maintain and update your information to keep it accurate
• Be at least 18 years old (or the age of majority in your jurisdiction)
• Be responsible for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use a strong, unique password
• Enable two-factor authentication when available
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with others

You are solely responsible for all activities that occur under your account, whether authorized by you or not.

4. User Conduct and Prohibited Activities

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, or impair the Services. Prohibited activities include, but are not limited to:

• Selling illegal, counterfeit, stolen, or prohibited items
• Engaging in fraudulent or deceptive practices
• Violating intellectual property rights of others
• Uploading malicious code, viruses, or harmful content
• Attempting to gain unauthorized access to our systems
• Scraping, data mining, or harvesting user data without permission
• Spamming, phishing, or sending unsolicited communications
• Impersonating others or misrepresenting your affiliation
• Violating any applicable laws or regulations
• Selling products that violate our Acceptable Use Policy

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Store Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you upload to your store, including product descriptions, images, logos, and other materials ("User Content"). By uploading User Content, you grant Dukano a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purpose of providing and improving the Services.

5.2 Intellectual Property Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all User Content
• Your User Content does not infringe any third-party rights
• You will comply with all applicable copyright and trademark laws

5.3 Dukano's Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Dukano or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6. Payment and Fees

6.1 Subscription Plans

Dukano offers various subscription plans with different features and pricing. By subscribing, you agree to pay the applicable fees as described in your plan.

6.2 Payment Processing

Payments are processed through third-party payment processors (Stripe, PayFast, etc.). You agree to provide accurate payment information and authorize us to charge your payment method.

6.3 Transaction Fees

In addition to subscription fees, we may charge transaction fees for each sale processed through your store. These fees will be clearly disclosed before you accept them.

6.4 Refunds

Subscription fees are generally non-refundable except as required by law or at our sole discretion. We may offer refunds on a case-by-case basis.

6.5 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

7. Third-Party Integrations

7.1 Meta/Facebook Integration

Dukano integrates with Meta platforms (Facebook, Instagram) to enable product catalog sync, advertising, and social commerce features. When you connect your Meta accounts:

• You authorize us to access your Meta data as specified in the OAuth permissions
• Your data will be subject to Meta's Data Policy and Platform Terms
• You are responsible for complying with Meta's Commerce Policies and Community Standards
• You can disconnect the integration at any time from your dashboard

7.2 Other Third-Party Services

We may integrate with other third-party services (payment processors, shipping providers, analytics tools, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party services.

8. Store Owner Responsibilities

As a store owner using Dukano, you are responsible for:

• All products and services sold through your store
• Accurate product descriptions, pricing, and availability
• Fulfilling orders and providing customer service to your customers
• Handling returns, refunds, and disputes with your customers
• Complying with all applicable laws, including consumer protection, tax, and data privacy laws
• Creating and maintaining your own store policies (privacy, shipping, refunds, etc.)
• Collecting and remitting applicable taxes
• Obtaining necessary licenses and permits for your business

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

• Going to Settings → Security → Delete Account in your dashboard
• Contacting our support team

Upon termination, your subscription will be canceled, and you will lose access to your store and data. We recommend exporting your data before terminating your account.

9.2 Termination by Dukano

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in prohibited activities
• Your account poses a security risk
• You fail to pay applicable fees
• We are required to do so by law

9.3 Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your data after a reasonable grace period
• You remain liable for all fees incurred prior to termination
• Sections of these Terms that should survive termination will remain in effect

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The Services will meet your requirements
• Any defects will be corrected
• The Services are free of viruses or harmful components

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUKANO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DUKANO IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dukano and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Products or services sold through your store
• Your customers' claims against you

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@dukano.com. We will attempt to resolve the dispute informally within 30 days.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

12.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the applicable arbitration rules, except where prohibited by law.

13. General Provisions

13.1 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Dukano regarding the Services.
